Terms of Service

Welcome to Kian Consult. These Terms of Service outline the rules and regulations for the use of our website and the engagement of our digital agency services. By accessing this website or entering into a project agreement with us, you agree to comply with these terms.

1. General Services

Kian Consult provides digital services including, but not limited to, website development, graphic design, social media management, content creation, and e-commerce infrastructure. The specific scope, timeline, and deliverables for your project will be explicitly detailed in your individual Service Agreement or Onboarding Document before any work begins.

2. E-Commerce Partnership Model

For clients participating in our "$0 Upfront" e-commerce partnership model, the following general terms apply:

• Kian Consult agrees to build, launch, and maintain the e-commerce store at no upfront cost to the client.
• In exchange, Kian Consult is entitled to an agreed-upon commission percentage of the monthly sales generated through the platform.
• If zero sales are made in a given month, zero commission is owed to Kian Consult for that month.
• Specific terms regarding platform ownership, data transfer, and exit clauses will be formalized in a separate Partnership Agreement signed by both parties during the onboarding phase.

3. Intellectual Property

Upon final payment for standard, non-partnership projects, the client will hold full copyright and ownership of the final delivered website, graphics, or content. Kian Consult retains the right to display the completed work in our portfolio, case studies, and marketing materials unless a specific Non-Disclosure Agreement (NDA) is signed prior to the project start.

4. Client Responsibilities

To ensure timely delivery of services, you agree to:

• Provide necessary materials, information, and access credentials in a timely manner.
• Respond to design approvals and feedback requests within the agreed-upon timeframes.
• Ensure that you have the legal right to use any logos, images, or copy you provide to us for inclusion in your project.

5. Revisions and Modifications

We want you to be thrilled with the final result. Standard projects include a set number of revision rounds as defined in your specific proposal. Additional revisions beyond the agreed scope, or major structural changes requested after the initial discovery phase is approved, may be subject to additional hourly or flat-rate billing.

6. Limitation of Liability

Kian Consult strives to provide secure, high-performing digital solutions. However, we cannot be held liable for losses or damages arising from third-party server outages, software vulnerabilities in external plugins, unauthorized access caused by client negligence regarding passwords, or changes made to the website code by the client or third parties after deployment.

7. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes relating to these terms shall be subject to the appropriate dispute resolution measures put in place between Kian Consult Ltd. and its partners/clients.
